These Terms of Service ("Terms") govern your access to and use of AutoPartout's website, applications, and services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.
1. Eligibility & Accounts
You must be at least 18 years old and able to form a binding contract to use the Service. When you create an account, you must provide accurate information and keep it updated. You are responsible for maintaining the confidentiality of your credentials and for all activities under your account.
2. Subscriptions, Fees & Usage Limits
- Some features require a paid subscription. Prices may change with notice.
- Fees are billed in advance and are non-refundable except as required by law.
- We may suspend or terminate access for unpaid or overdue accounts.
- Each plan includes a monthly limit on part preparations and live eBay publishes, as described at the time of purchase. Limits reset monthly and do not carry over.
- Certain plans display an AutoPartout attribution in generated listing descriptions. This attribution is enforced server-side. Upgrading to an eligible plan removes it.
3. eBay Integration, Listing Accuracy & Your Responsibilities
- You authorize us to act on your behalf with eBay via OAuth solely to create and manage listings you approve.
- You are solely responsible for the accuracy of all listing data, including titles, descriptions, part numbers, condition, pricing, photos, and fitment claims.
- Part numbers and other suggestions generated by the Service are provided as tools to assist you. They are not guaranteed to be accurate, complete, or current. You must verify all part numbers and fitment before publishing.
- Published listings use photos you upload of your actual parts. Marketplace-sourced reference images, where shown inside the Service, are for your internal review only and cannot be included in a published listing. You are responsible for ensuring the images in your listings accurately represent the item you are selling.
- The Service does not guarantee that any listing will sell or achieve any particular price or sell-through rate.
- You are responsible for compliance with all eBay policies, applicable laws (including consumer protection, tax, export controls, and salvage title or parts disclosure requirements), fulfillment, shipping, customer support, returns, and disputes.
4. Acceptable Use
You may not:
- Use the Service to list illegal, unsafe, counterfeit, or prohibited items, or to violate eBay policies.
- Interfere with or disrupt the Service, scrape without permission, or reverse engineer components.
- Upload content that is infringing, misleading, defamatory, or otherwise unlawful.
5. Intellectual Property
The Service, including software, text, designs, and trademarks, is owned by or licensed to AutoPartout and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to access and use the Service in accordance with these Terms.
6. User Content
You retain all rights to content you upload. You grant AutoPartout a worldwide, non-exclusive, royalty-free license to host, store, reproduce, and display your content solely to operate and improve the Service.

8. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that pricing data, part numbers, fitment information, reference images, or listings are accurate, complete, or error-free, or that the Service will be uninterrupted. Part fitment verification is the buyer's responsibility; however, as the seller, you are responsible for not misrepresenting parts.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL AUTOPARTOUT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) AMOUNTS PAID BY YOU TO AUTOPARTOUT IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM OR (B) $100.
10. Indemnification
You will indemnify and hold harmless AutoPartout and its affiliates, officers, agents, and employees from any claim, demand, loss, or damage arising out of your use of the Service, your content, your listings, or your violation of these Terms or applicable law.
11. Termination
We may suspend or terminate your access at any time if we believe you have violated these Terms or for any other lawful reason. You may cancel at any time from the Plan & billing page.
12. Governing Law; Dispute Resolution
These Terms are governed by the laws of the State of California, without regard to its conflict of law principles. Any dispute will be resolved in the state or federal courts located in Los Angeles County, California, and you consent to their jurisdiction.
13. Changes to the Service or Terms
We may modify the Service and these Terms from time to time. We will post updates with a new "Last updated" date. Your continued use constitutes acceptance of the revised Terms.
